J.M. Smucker has signed a definitive agreement to acquire the Hostess brand of products for a total enterprise value of $5.6 billion, including $900 million of net debt.

The acquisition includes Hostess’ sweet baked goods—Hostess Donettes, Twinkies, CupCakes, DingDongs, Zingers, CoffeeCakes, HoHos, Mini Muffins and Fruit Pies, as well as the Voortman cookie brand and several manufacturing facilities across Emporia, Kansas; Burlington, Ontario; Chicago, Illinois; Columbus, Georgia; Indianapolis, Indiana and Arkadelphia, Arkansas.

The transaction is anticipated to close in the third quarter of the company’s current fiscal year ending April 30, 2024, and it has been unanimously approved by the boards of directors of both J.M. Smucker and Hostess.
